1. Agreement to Terms

By creating a Firmside account, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform.

Firmside ("we," "us," or "our") operates the platform at app.firmside.co. These terms govern your access to and use of that platform.

2. Who Can Use Firmside

Firmside is intended for accounting firms operating in the United States.

You must be at least 18 years old and able to enter into a binding contract to use Firmside. By using the platform, you represent that you meet these requirements.

If you are using Firmside on behalf of a business, you represent that you have authority to bind that business to these terms.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@firmside.co if you suspect unauthorized access.

You may not share your account with others or create accounts on behalf of someone else without their authorization.

4. Acceptable Use

You agree not to use Firmside to:

  • Violate any applicable law or regulation
  • Attempt to access another user's account or data
  • Reverse engineer, scrape, or make automated requests to the platform
  • Upload malicious code or interfere with the platform's operation
  • Use the platform for any purpose other than managing and sharing financial dashboards with your clients

5. Your Data

You retain ownership of all data you upload to Firmside. By uploading data, you grant us a limited license to store and process it solely to provide the service to you.

We do not sell your data or use it for advertising. See our Privacy Policy for full details on how we handle your data.

You are responsible for ensuring you have the right to upload any data you submit to Firmside, including client financial data.

6. Subscription and Payment

Firmside offers free and paid subscription plans. Paid plans are billed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not offer refunds for partial periods.

We reserve the right to change pricing with 30 days notice by email or in-app notification. Continued use after a price change constitutes acceptance of the new price.

7. Termination

We may suspend or terminate your account if you violate these terms, fail to pay fees when due, or engage in conduct that we determine is harmful to other users or to the platform.

We also reserve the right to terminate any account for any reason with 30 days notice.

You may delete your account at any time by contacting us at support@firmside.co.

Upon termination, your right to access the platform ends. We may retain your data for up to 90 days as required by law or for legitimate business purposes, after which it will be deleted.

8. Disclaimers

Firmside is provided "as is" without warranties of any kind, express or implied. We do not guarantee that the platform will be uninterrupted, error-free, or meet your specific requirements.

Firmside is a tool for organizing and presenting financial data that you provide. We do not verify the accuracy of any data you upload. Nothing on the platform constitutes financial, accounting, tax, or investment advice. All projections and reports are for planning purposes only and should not be relied upon as guarantees of future results.

QuickBooks and Intuit. QuickBooks and QuickBooks Online are trademarks of Intuit Inc. Firmside is an independent product and is not affiliated with, endorsed by, or sponsored by Intuit Inc. Firmside does not connect to QuickBooks Online through an Intuit API or partnership. You are responsible for your own use of QuickBooks Online and for complying with your agreement with Intuit.

9. Limitation of Liability

To the maximum extent permitted by law, Firmside's total liability to you for any claims arising out of or related to these terms or your use of the platform will not exceed the total fees you paid to Firmside in the 12 months preceding the claim.

In no event will Firmside be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold Firmside harmless from any claims, damages, or expenses arising out of your use of the platform, your violation of these terms, or your violation of any third party's rights.

11. Governing Law

These terms are governed by the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising under these terms will be resolved in the courts of the State of Oregon.

12. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by email or by posting a notice in the platform. Continued use after changes take effect constitutes acceptance of the updated terms.
